Acquisition of Shares Completed XL Axiata Officially Owns 51% Shares of PT Hipernet Indodata

Today, XL Axiata announces the completion of the acquisition of shares in PT Hipernet Indodata, this was conveyed by the Company through Material Information or Facts Report to the Financial Services Authority (OJK) of the Republic of Indonesia on June 2, 2022. For this reason, as of today, XL Axiata is officially owns 2,805 shares or equivalent to 51% shares of PT Hipernet Indodata with a transaction value of around 335.3 billion rupiah.

Jakarta, 2 June 2022. On June 2, 2022, PT XL Axiata, Tbk (XL Axiata) announces the completion of the acquisition of shares in PT Hipernet Indodata, as stated in Material Information or Facts Report number: 096/CSEC/VI/2022 to the Financial Services Authority (OJK) of the Republic of Indonesia. For this reason, as of today, XL Axiata officially owns 2,805 shares, equivalent to 51% of Hipernet Indodata shares with a transaction value of around 335.3 billion rupiah. With the completion of the partial acquisition of Hipernet shares by XL Axiata, the current composition of Hipernet Indodata shareholders is as follows:

 

  1. PT XL Axiata Tbk : 51%
  2. PT Mitra Indo Asia: 34.31%
  3. PT Magna Karya Archipelago: 14.69%

Total : 100%

 

XL Axiata's President Director & CEO, Dian Siswarini, said, "We are very grateful that the entire technical and non-technical process in the acquisition of PT Hipernet Indodata shares went smoothly without any major problems. Today, the Company has officially announced and reported to the authorities regarding the completion of the acquisition of shares in PT. Indodata hypernet. This corporate action was carried out with the aim of strengthening the position and expanding the scope of the company's integrated ICT products & services in the digital service business to corporate circles.

 

Meanwhile, CEO of PT Hipernet Indodata, Sudianto Oei, said, “We really appreciate the strategic steps taken by XL Axiata in the acquisition of PT Hipernet Indodata's shares. We believe this strategic step will be able to support XL Axiata's business, especially in the digital services business for the corporate market. We also hope that this corporate action can benefit all parties, both for each company and can also be beneficial for the corporate community, industry and also for the wider community.

 

Hipernet Indodata is a managed service provider in the field of information and technology that is fully customizable to customer needs. The services provided include the provision and management of information and technology resources, both in the form of software and hardware, along with the required human resources, as well as managing the resources already owned by customers.

 

The technology and information services offered include internet management, WiFi, cloud, professional information technology services, and other business application services. So far, Hipernet has served customers with corporate needs in various fields, including hospitality, tourism, health, finance, and retail.

 

This share acquisition aims to increase the company's competitiveness in order to offer telecommunication products and service solutions to the corporate/enterprise market.
