Jakarta, 11 January 2024. PT XL Axiata Tbk (XL Axiata) today, Thursday (11/1), held an Extraordinary General Meeting of Shareholders (EGMS) ("Meeting"). The EGMS, which took place online, had two agenda items that were approved at the Meeting, which were approval of changes to the company's articles of association in connection with changes in business activities, including discussion of feasibility studies on the expansion of business fields, and changes in the composition of the Board of Commissioners.
President Director & CEO of XL Axiata, Dian Siswarini, stated, “Strong and solid corporate governance is essential, especially when the company faces the challenges of competition in the telecommunications industry. In this EGMS of XL Axiata, the Meeting has approved two main agendas, one of which is the approval of changes to the company's articles of association in connection with changes in business activities, including discussion of feasibility studies on the expansion of business fields. In addition, there is also a change in the composition of the Board of Commissioners.”
In more detail about the Meeting's decision, on the first agenda item, the Meeting approved the amendment to Article 3 of the company's articles of association in connection with changes in business activities, including discussion of feasibility studies regarding the addition of the company's business fields to fulfill the requirements and provisions of the Financial Services Authority (OJK) Regulation Number 17/POJK.04/2020 concerning material transactions and changes in business activities ("POJK No.17/2020").
To fulfil the requirement of POJK No.17/2020, the Company has conducted an Information Disclosure in connection with changes in business activities in the form of additional business fields, which were announced to the public on December 5, 2023, on the Company's website and the Indonesia Stock Exchange website. In addition, the Company has appointed an Independent Appraiser registered with OJK, namely the Office of Public Appraisal Services (KJPP) of Yanuar, Rosye, and Partners, as the independent appraiser to provide a feasibility study and determination of changes in XL Axiata's business activities.
Furthermore, in the second agenda item, the Meeting approved changes in the composition of the Board of Commissioners. This change was related to the resignation letter of Dr. David Robert Dean as a member of the Board of Commissioners. Per OJK regulations, the Company had also submitted an Information Disclosure to the public and OJK through letter no. 1640/EXT/CSEC/CEOD/2023 on September 25, 2023, regarding information reports or material facts regarding the resignation of a member of the Board of Commissioners.
The Meeting also accepted the resignation of Dr. David Robert Dean as a member of the Board of Commissioners of the Company effective 90 days from the date of resignation, namely December 24, 2023, and granted him full release and discharge (acquit et de charge) for all supervisory actions taken since the appointment as a member of the Board of Commissioners until the end of his term of office.
